These Terms of Service (“Terms”) govern your access to and use of the website tradehud.com, any related applications, and the services we provide (collectively, the “Services”). The Services are operated by Tokisan LLC (“TradeHUD,” “we,” “us,” or “our”).
By accessing or using the Services, creating an account, or subscribing, you agree to be bound by these Terms and our Privacy Policy and Refund Policy. If you do not agree, do not use the Services.
1. Description of the Services
TradeHUD provides market data, charts, scanners, option chain tools, and related informational content. Features and availability may change over time. We may modify, suspend, or discontinue any part of the Services at any time.
2. No Investment Advice
The Services and all content are provided for informational and educational purposes only. Nothing on the Services constitutes investment, financial, tax, legal, or professional advice, nor any recommendation, endorsement, or offer to buy, sell, or hold any security or financial instrument.
We are not a registered investment adviser, broker-dealer, or financial planner with the U.S. Securities and Exchange Commission, FINRA, or any state securities authority. You are solely responsible for your own research and decisions. Consult a qualified professional before making any investment.
Trading and investing involve substantial risk of loss and are not suitable for everyone. You could lose some, all, or more than your initial investment. Past performance does not guarantee future results.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Services. By using the Services you represent that you meet these requirements.
4. Accounts and Subscriptions
You may need an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Subscriptions are billed on a recurring basis (monthly or annually, as selected) through our payment processor (currently Stripe). By subscribing you authorize recurring charges to your payment method until you cancel. Pricing and plan details are shown at the time of purchase and may change with notice.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. Refunds are governed by our separate Refund Policy.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms
- Attempt to reverse-engineer, scrape, or automatedly extract data beyond normal personal use
- Redistribute, resell, or commercially exploit the data or tools without our prior written permission
- Interfere with the operation or security of the Services
- Misrepresent the source or nature of the information
We may suspend or terminate access for violations.
6. Intellectual Property
All content, software, designs, trademarks (including TradeHUD), and data on the Services are owned by Tokisan LLC or our licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial purposes only, subject to these Terms.
7. Third-Party Data and Services
Much of the market data comes from third-party providers. Data may be delayed, incomplete, or contain errors. We do not guarantee the accuracy, completeness, or timeliness of any data. Your use of third-party data is also subject to any applicable third-party terms.
8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOKISAN LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR $100 IF YOU HAVE NOT PAID US ANYTHING).
10. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if you violate these Terms. Upon termination, your right to use the Services ends immediately.
The following sections will survive termination of these Terms and remain in effect indefinitely: Sections 2 (No Investment Advice), 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law and Dispute Resolution), and any other provisions that by their nature should survive.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute arising out of these Terms or the Services shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction there.
You agree that any dispute resolution will be conducted on an individual basis and not as a class, consolidated, or representative action.
13. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date will reflect changes. Material changes will be posted on the Site (and, where appropriate, notified by email). Continued use after changes constitutes acceptance of the updated Terms.
14. Miscellaneous
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right does not constitute a waiver.
